FOR IMMEDIATE DISTRIBUTION RE: WHILTON MILL KART CLUB LIMITED The Directors of Whilton Mill Kart Club Limited have determined to cease all current activities of the Company and its Members Club with immediate effect.
The decision has been taken regrettably in light of the hostile actions of and on behalf of Whilton Mill Limited since or about December 2012 when ‘out of the blue’ Roger Ashby, the MD of Whilton Mill Limited and one of its two shareholders, served notice terminating the Club’s Licence to use the venue. Service of the termination notice immediately necessitated that the Club should not accept applications for renewal of Membership commencing 1 January 2013.
It became immediately clear that the fundament of and belief behind the actions of Whilton Mill Limited was its desire to take over or in the alternative to benefit from the assets of Whilton Mill Kart Club Limited, including any cash reserves, and to materially interfere in the running of the Club in the future and to control its Board.
Despite concerted endeavours to find a way forward, it has proved impossible to even arrange a meeting with Whilton Mill Limited in order to explore a future path because Whilton Mill Limited would only consider any meeting based on its own preconditions and ‘agenda’ and refused to contemplate a meeting proposed by the Club whereby the Club intended to introduce a fresh regulatory structure wholly for the benefit of members and their active participation.
Whilton Mill Kart Club Limited is a company limited by guarantee and as such its directors cannot and do not derive financial benefit from it; essentially they are volunteers. Whilton Mill Limited is a trading company wholly owned by Roger and Sarah Ashby and who are exclusively entitled to the distribution of its profits. The Directors Whilton Mill Kart Club Limited
